1 Introduction

Welcome to Adhocsy OnDemand Workforce Private Limited ("Adhocsy", "Company", "we", "our", "us"). These Terms of Use ("Terms") govern your access to and use of the Adhocsy website, mobile application, and related services (collectively, the "Platform").

By accessing or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.

These Terms constitute a legally binding agreement between you (the "User") and Adhocsy. Please read them carefully before proceeding.

2 Nature of Platform

Adhocsy operates a digital workforce marketplace that:

  • Connects companies, contractors, and workers seeking short-term, shift-based, or permanent employment
  • Facilitates shift-based and subscription-based hiring arrangements
  • Provides technology infrastructure for shift management, attendance verification, and payment facilitation
  • Issues digital work records and verified work identity for platform workers

Important: Adhocsy is not an employer of workers (unless explicitly stated in a specific arrangement), a labour contractor, or a recruitment agency guaranteeing placement. The Platform acts as an intermediary technology service provider. All employment or engagement relationships are formed directly between the Company/Contractor and the Worker.

3 Eligibility

To register and use the Platform:

  • Individual workers must be at least 18 years of age and legally eligible to work in India
  • Companies and contractors must be legally registered entities under applicable Indian law
  • All users must provide accurate, complete, and current information during registration
  • Workers must possess valid identity documentation (Aadhaar or other government-issued ID) for verification

Adhocsy reserves the right to suspend or terminate accounts where false, misleading, or incomplete information is provided, or where eligibility criteria are not met.

4 Account Registration & Security

Users are responsible for:

  • Maintaining the confidentiality of all login credentials, OTPs, and authentication details
  • All activities conducted through their registered account
  • Promptly notifying Adhocsy of any suspected unauthorized access or breach

Adhocsy shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

5 Subscription & Payment Terms

Certain Platform features — including enhanced job posting credits, worker visibility tools, and analytics — require a prepaid subscription plan.

  • Subscription fees are payable in advance and are non-refundable once a billing cycle commences
  • Contact unlock credits and feature access are governed by the specific subscription plan chosen
  • Adhocsy reserves the right to modify pricing, features, and subscription tiers with reasonable prior notice
  • Worker shift payments are processed through the Platform's payment infrastructure and are governed by separate shift terms communicated at the time of shift acceptance
Payment disputes must be raised within 7 days of the relevant transaction. Adhocsy will review and resolve disputes in good faith.

6 Contact Unlock & Anti-Circumvention

Worker contact details and direct communication channels are restricted by default and require appropriate subscription or credit activation.

By using the Platform, all users agree:

  • Not to attempt to bypass the Platform after an initial introduction has been made through Adhocsy
  • Not to engage in off-platform hiring, contracting, or payment arrangements to avoid Platform fees
  • Not to share worker personal contact details obtained through the Platform with third parties

Violation of anti-circumvention provisions may result in immediate account suspension, recovery of applicable fees, and legal action.

7 User Content

By submitting content to the Platform (job listings, profiles, reviews, work records), you:

  • Grant Adhocsy a non-exclusive, worldwide, royalty-free licence to use, display, and reproduce such content for operating and improving the Platform
  • Warrant that you own or have the necessary rights to the content submitted
  • Confirm the content is accurate and does not violate applicable law or third-party rights

Adhocsy may remove content that violates these Terms or applicable law without prior notice.

8 Platform Conduct Rules

All users must not:

  • Post false, misleading, or fraudulent job listings or worker profiles
  • Misrepresent shift terms, pay rates, or working conditions
  • Harass, intimidate, or discriminate against workers or employers
  • Use automated bots, scrapers, or tools to access or harvest Platform data
  • Attempt to disrupt, hack, or compromise Platform security or infrastructure
  • Use the Platform for any illegal purpose, including labour law violations

Violation of conduct rules may result in immediate account suspension, permanent ban, and/or legal proceedings.

9 No Employment Relationship

Nothing in these Terms, and no use of the Platform, creates or implies:

  • An employer-employee relationship between Adhocsy and any worker using the Platform
  • An agency relationship between Adhocsy and any employer or contractor
  • Any obligation on Adhocsy to guarantee work, shifts, or income to any worker

Any engagement, employment, or contractual relationship formed through the Platform is strictly between the Company/Contractor and the Worker. Adhocsy facilitates but does not participate in or guarantee such relationships.

Worker protection coverage referenced on the Platform is provided through applicable insurance arrangements and does not constitute an employment benefit from Adhocsy.

10 Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Adhocsy does not warrant:

  • Successful hiring outcomes or shift fulfilment
  • The performance, reliability, or suitability of any worker or employer on the Platform
  • Continuous, uninterrupted, or error-free Platform availability
  • That the Platform will meet your specific business or employment requirements

11 Limitation of Liability

To the maximum extent permitted by applicable law, Adhocsy shall not be liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Labour disputes, non-performance, or injuries arising between workers and employers
  • Data loss or security breaches resulting from user negligence

In any event, Adhocsy's total liability to any user shall not exceed the subscription fees paid by that user in the three months preceding the claim.

12 Indemnification

You agree to indemnify, defend, and hold harmless Adhocsy and its officers, directors, and employees from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your misuse of or unauthorised access to the Platform
  • Your breach of these Terms
  • Your violation of applicable laws, including labour, employment, or tax laws
  • Content you submit to the Platform

13 Data Protection & Privacy

Use of the Platform is also governed by our Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.

Adhocsy collects data including identity verification documents, shift records, payment details, and usage data. This data is used to operate the Platform, facilitate payments, build work records, and improve services.

We are committed to compliance with applicable Indian data protection laws, including the Digital Personal Data Protection Act, 2023.

14 Suspension & Termination

Adhocsy may suspend or terminate any account, with or without notice, for:

  • Material violation of these Terms
  • Fraudulent activity or misrepresentation
  • Non-payment of applicable fees
  • Conduct that harms other users, the Platform, or Adhocsy's reputation

Upon termination, your right to use the Platform ceases immediately. Clauses relating to indemnification, limitation of liability, and governing law survive termination.

15 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts at Noida, Uttar Pradesh.
